Today, the Great American Lager is no more. Anheuser-Busch's fairy tale is over, and as Dethroning the King: The Hostile Takeover of Anheuser-Busch, an American Icon details, the legendary company collapsed in spectacular fashion. In the summer of 2008—investment bank Bear Stearns had already collapsed; lenders Fannie Mae and Freddie Mac were teetering on the verge of insolvency; financial services firm Lehman Brothers would soon declare the largest bankruptcy in U.S. history; and Anheuser-Busch had just received a takeover bid from foreign brewing giant InBev. Tell Me It Ain't So -

"Dethroning the King" reports how Budweiser (Anheuser-Busch - A-B), an American icon built up over 150 years to a 52% U.S. market-share, was lost to Brazil's InBev (headquartered in Belgium) in just 7 weeks. Thought to be 'too big to buy,' it instead proved 'too slow to act.' Company loyalists probably thought the Busch family could prevent a hostile takeover - however, they collectively only owned 4% of the stock, less than Warren Buffett (5%).

August Busch (A.B.) III, the former highly-respected A-B CEO, had stepped down in 2002. Known for his attention to detail, especially quality and brand image, he had over-focused on beating Miller in U.S. market share, largely ignoring foreign opportunities. (A-B did own part of both a Chinese [Tsingtao] and Mexican beer [Grupo Modelo] producer.) His son, August Busch IV, unfortunately was known for vitriolic disputes with his father, lacked the board's confidence, and often was AWOL from his leadership duties. The takeover danger had been spotted at least two years prior, but little was done in defense until too late - $500 million/year ($1 billion at another point - unclear which they really committed to) in savings (including 1,185 positions), identified the day InBev made its offer.

InBev was created by the 2004 combination of Brazil's Ambev and Belgium's Interbrew. The takeover cost InBev $70/share, in cash (A-B stock was in low $50s when InBev began pursuit; initial offer was $65/share), and created the world's largest beer company with about 200 brands. InBev changed its name to Anheuser-Busch InBev to maintain A-B's heritage and stifle opposition; it also decided to site its N.A. headquarters in St. Louis.

In late 2006, A. B. IV was about to become CEO, and wanted to ink a joint venture with InBev (make A-B the exclusive U.S. importer of InBev's European brands). This would be his first big initiative, and help cement his CEO spot. He succeeded, but failed to include the standstill clause A.B. III wanted that prevents partners from making moves toward an unsolicited takeover. A.B. III allowed it to proceed at the board level, nonetheless. The agreement allowed InBev people to see the excessive corporate overhead and where to make cuts.

A-B board members had numerous conflicts of interest - with Enterprise Rent-A-Car that it did extensive business with, with the head of one of its distributors, and interlocking board memberships (eg. Ed Whitacre at AT&T was on A-B board; A.B. III was on AT&T board and had been key in Whitacre getting a generous pay package). The board neglected to try to tie up banks that might be called on by InBev for funding, had destaggered board terms but failed to require that dismissing the entire board couldn't be accomplished without some sort of infraction, its poison pill provision had expired, and the Busch family had neglected to establish a two-tier shareholding structure that allowed them to maintain control without a majority of shares.

A-B management did explore one defense - buying the rest of Grupo Modelo to make themselves to large for InBev to aquire. Between Modelo demanding too much, and A.B. IIII being uninterested, this went nowhere.

Side Note: Ex-AT&T CEO Ed Whitacre who later became CEO of G.M. was also a member of the A-B board - their inept performance should have disqualified him from involvement with and leadership of G.M. after the restructuring.

InBev immediately implemented zero-based budgeting upon takeover, planned $1.5 billion in cost cuts, and now plans $2.25 billion in annual savings by 2011. The New CEO, Carlos Brito, stayed at the Holiday Inn after flying coach from New York. Payables days have been extended - sometimes from 30 to 120 days. First-class travel became coach class, stays at expensive hotels became much cheaper locales, cushy, private offices became a sea of community tables and tightly packed desks, luxurious furniture was auctioned off, free beer and tickets to Cardinals games and Busch Gardens ended for all employees, numerous sports events sponsorships ended, and Grant's Farm is now only open weekends. Improved water efficiency (30%) is planned. In October, 2009, plans were announced to sell Busch Entertainment (SeaWorld) and A-B's corporate jets; Busch's share of Tsingtao Brewery was also sold. More than 1,500 jobs have been cut - many in sales and marketing (U.S. volumes fell 4.8% first-half of 2010). It's still carrying over $40 billion in long-term debt.

Bottom-Line: Having a excellent product, market share, and brand value is not enough in the era of globalization. The result was a sad event for America.

Interesting Chronicle of Rise of Anheuser-Busch and its Eventual Takeover

"Dethroning the King" is a thoroughly researched and well-written chronicle of the rise of Anheuser-Busch and its eventual sale to the international brewer, InBev, in the largest-ever cash acquisition.

The first third of the book focuses on the personalities of the three generations of Busch leaders that ruled A-B for the last 80 years. This section is filled with rich anecdotes of inter-family power grabs and contrasting personal and professional management styles. For those not familiar with the Busch dynasty, the stories are fascinating and make for a good read. Following an effective set-up of the main characters, the author profiles what made A-B so successful in its meteoric rise from roughly 20% of the U.S. beer market share in the mid-70s to ultimately capturing 52% by 2002. It was interesting to see how the single-minded focus of A-B's CEO, August Busch III, and the effective advertising campaigns of the 90s helped cause such dramatic results.

Beginning around 2006, however, A-B's management hubris, a massively out-of-market cost structure and extremely insular thinking made the company vulnerable to a foreign takeover attempt. The last one-third of "Dethroning the King" tells a blow-by-blow narrative of how the takeover was planned, financed and executed. The author takes the reader into the Board rooms of both "hunter" and the "hunted" and even manages to save a couple of surprises for the end.

Similar to "The Smartest the Guys in the Room" which told the fall of Enron, in "Dethroning the King" the readers know the end result even before picking up the book yet this does not diminish one's enthusiasm for hearing all of the details of the story. The author's pace is well balanced, and the book is challenging to put down after beginning.

Business Isn't About Making Friends Anymore

First and foremost this is a great book about a contested corporate takeover. It's not about brewing beer, marketing, advertising, pride, tradition, loyalty or anything else that made Anheuser-Busch great -- it's about a bunch of corporate lawyers and financeial bean counters who spin around the world on private planes reading financial statements and fine print. It's also a textbook case about the fall of a small part of the American empire. It could have been titled "Take The Money and Run" -- except that already was a title from a Woody Allen movie in the 1960's.

"Dethroning the King" is also about loss because almost every involved in this sad takeover tale is a loser. Carlos Brito of InBev seems like a winner but he overpaid for the dethroned "King of Beers" and hastened the devaluing of one of the most iconic brands in the world. August Busch III is a loser who made a lot of money, built a hugely successful company but ended up as a solitary jerk trusted and loved by nobody (though respected by all). Busch the Fourth is a nice guy in way, way over his head, somebody who should have been managing a beer wholesaler in a mid-level market. The financiers involved in the story are all from collapsed and disgraced -- though bailed out -- firms. The Board of Directors of the former Anheuser-Busch come off perhaps the worst of all, self-interested, lazy corporate yes-men who never created a job and wouldn't know a real Budweiser from a warm pitcher of spit. St. Louis and the rest of the USA are also big losers as another hometown hero company bites the dust.

This is not a fun read and the author probably indulges in too much psychobabble about the father-son drama between the reptillian Busch III and the hapless Busch IV. Dethroning the King is about more than the boring Busch'es -- it's about what made America great and how greed destroyed it. I shudder to think what August Busch Jr. would think if he read this book, it's almost enough to make a real American wish for prohibition again. Read it, weep, and let's learn from this sad tale of greed and loss.

As I write this, I am sitting at my desk (it's 4:30PM) and my last nurse aide student is completing the performance part of the Red Cross Nurse Aide test. He already passed the written this AM. I tell you this because my student is severely dyslexic. When he enrolled in my class, I had serious concerns about his disability. The last thing I want to do is frustrate a student. I suggested the audio book for our text, Nursing Assistant Care, and he bought it. He listened to every chapter before I taught it and was able to take notes along with the class. He listened again when he got home to clarify. He used all the review material and practice tests faithfully. He came to me on several occasions thanking me for the book. I am now passing those (and my) thanks to you!! Without this audio book, my student would not have succeeded. As of 5 minutes ago, he is a Certified Nursing Assistant!!! Thank you, Hartman! I am a customer forever!!

Worth the price

Required textbook for CNA course my child is taking. Her opinion is that it's well laid out, includes color photos for reference and has an adequate table of contents to assist with navigating. She's only had the book for one week but claims she's learning a lot. Also, excellent shipping time. Received the book four days earlier than projected. A major bonus when working on a deadline before course starts.

This is a great source for the first-time or new-comer to the world of sausage making. Great detail and insight to the process and the necessary cautions that would be easily overlooked. Very good recipes and info on the process to make the process SIMPLE! We will be looking for more on the subject as we expand our endeavor into this "old world" process of preserving meats and making fresh products without chemicals we do not want to consume.

Fantastic Intro To Sausage Making

The recipe for Italian sausage in this book is worth the purchase alone. I added a little giardiniera to it from my friend's suggestion which really set it off. It's a fun learning experience and the freshness of the final product can't be beat. Lots of bonus recipes for sauces (mustards, ketchups, BBQ) and helpful hints throughout. An A+ Idiot's Guide.

I have many sausage books and this might not be the best book for the actual details of smoking sausage since it say to 'follow your smokers instructions' but their are many great recipes and it gave me some pointers on smoking. I would recommend buying it.

About the Author

Claude Sammut is a Professor of Computer Science and Engineering at the University of New South Wales, Australia, and Head of the Artificial Intelligence Research Group. He is the UNSW node Director of the ARC Centre of Excellence for Autonomous Systems and a member of the joint ARC/NH&MRC project on Thinking Systems. He is on the editorial boards of the Journal of Machine Learning Research, the Machine Learning Journal and New Generation Computing, and was the chairman of the 2007 International Conference on Machine Learning.

Geoffrey I. Webb is research professor in the faculty of Information Technology at Monash University, Melbourne, Australia. He has published more than 150 scientific papers and is the author of the data mining software package Magnum Opus. His research areas include strategies for strengthening the Naïve Bayes machine learning technique, K-optimal pattern discovery, and work on Occam’s razor. He is editor-in-chief of Springer’s Data Mining and Knowledge Discovery journal, as well as being on the editorial board of Machine Learning.

About the Author

Eliot Coleman has over thirty years' experience in all aspects of organic farming, including field vegetables, greenhouse vegetables, rotational grazing of cattle and sheep, and range poultry. Build Yourself A Winter Wonderfarm

Got a little land? Love a lot of vegetables? Then build yourself a Winter Wonderfarm. You may not be able to enjoy fresh garden tomatoes in the dead of winter, but there are more than 30 green and root vegetables that you can enjoy. From carrots to onions, celery to kohlrabi, and almost every vegetable in between, your Winter Wonderfarm will become the envy of your neighborhood. Perhaps that's where the expression "green with envy" came from . . . a better, greener farm.

The three components to a successful winter harvest, according to Mr. Coleman are:

1) Cold-hardy vegetables
2) Succession planting
3) Protected cultivation

As it turns out, if we can protect our vegetables from the winter winds, we can grow many vegetables successfully, even in the snow. Some vegetables, such as spinach, lettuce and matte, are actually even sweeter and more tender in cooler temperatures. Think you surely have to provide supplementary lighting? Nope . . . not needed when grown in one of Mr. Coleman's "cold houses". He uses these cold houses even in the Maine winters of Zone 5.

You'll also learn about vertical production of tomatoes and how to create your own cold frame with quick hoops made of electrical conduit and 10-foot-wide spun-bonded row cover held down by sandbags. These hoops can cover the same area as a 22 by 48 foot greenhouse at 5% of the cost. Speaking of cost, a recent article in the AARP Magazine indicated that we can save $1,000.00 a year growing our own vegetables in a small garden. Now add your winter crop savings, and imagine what you'd save. Your Winter Wonderfarm will yield delicious, organic vegetables, improving your diet and fattening your wallet. Good reading, not quite what I was looking for

I agree with jyoung's review that there are great stories and history lessons in the book of how winter gardening works and how it worked for the French & British in the 1800's. The whole last 1/3rd of the book is about marketing and packaging produce for a business, so not very applicable for me as a home gardener. I also find his stories and techinques difficult to apply on a smaller scale for my home garden. I feel the book lacks actual how-to information, it is just some stories on what he has tried over the years and what he grows to sell to his customer base. Living at almost 11,000 feet in Colorado, I was really hoping for some good information on winter gardening since we have around 7-8 months of snow/year including receiving snow sometimes around (or after) July 4th. Though the book was an interesting read and a good history lesson, it was not quite the technical how-to guide I was looking for.

Winter Harvest Handbook

Once again Elliot Coleman has provided us with a wealth of knowledge when it comes to both home and commercial gardening. In these times of change, it is reassuring to know that there are those who are more than willing to share what they have learned. We have been using some of his techniques here in New Brunswick, Canada with great success. We are currently eating spinach in April and May that we planted last fall in our cold frame. If a crop can survive one of our winters, they should survive elsewhere. If you want to put in a garden, this is a must book to own.

From zero to sound in no time

This book couldn't be more timely: I have started to play with Pd (Pure Data) recently and was wondering whether I could transfer my knowledge of Pd to other environments, such as my Android-powered smartphone. Written by the creator of the fantastic libpd library, this is the definitive introduction. For me it served not only as a guide to Pd on Android but also as a basic tutorial for development in Android (the book also includes a very short primer for Pd for beginners). Before this book I had not created any Android app at all and with the help of the book I found myself compiling and running sample music and sound apps on my Android phone in a few hours. What else can one ask for? More Pd and libpd knowledge would definitely not hurt but it would probably book to at least 300 - 400 pages. Besides, there are excellent and freely available resources for designing sound systems using Pd, and the book provides pointers to them.

In other words, if you want to build Pd powered applications using libpd for iPhone, iPad or Android phones and tablets, and are in need of a very quick guide to get you up to speed, then look no further. But also keep in mind that Pd system is a very sophisticated sound processing environment which requires dedication to master all of its aspects and details. Nevertheless, once you interactively design your sound application on the desktop, this book includes the necessary material to port your application to other devices. And for the impatient hackers out there, it also includes detailed explanations of RjDj (iOS) and ScenePlayer (Android) systems which help you run your Pd patches on respective devices without writing a single line of Objective C or Java code.

Good resource for libpd

Making musical apps by Peter Brinkmann provides audio developers with the knowledge to use Pure Data (Pd) to develop an interactive audio engine. The books uses libpd to embedded the widely popular audio engine, Pd, into iOS and Andriod apps. Using Pd in your apps allow you to create more interactive audio and employ the use of synthesis instead of using samples.

The book covers all fronts including getting you started with Pd. The tutorial gets you through basic concepts of visual programming in Pd and getting sound but that only scratches the surface of Pd. Users that are new to Pd would need to supplement their learning with another resource. The book later explains the integration of your Pd patch with the app through the use of libpd. However, it is expected that the reader is already capable of programming for iOS or Andriod. I would consider this book a bridge for readers who are already developing for iOS or Andriod and who are able to work with Pd. Nevertheless, for anyone who is interested in using Pd in their apps, this is the book to have.

An ideal introduction

The book was pitched at the right level for my knowledge and skills. I have written a couple of native Android apps, and have toyed with Pd in the past. The book clearly explains the context, history and potential of the library, then runs through some very clear examples to get a working app together. The tutorial format for putting together the example app is really clear and painless. Would have given 5 stars if there was another chapter going into further examples in more depth.
